Terms and Conditions of Service

1. Nature and Scope of Service

BotellónGo is a Software as a Service (SaaS) solution developed by RFJ Software that delivers digital infrastructure for order mediation, logistics routing, real-time GPS telemetry, jug lending ledger control (Kardex), and fiscal invoicing for water bottling plants, distributors, and end consumers:

• Consumers (B2C / Residential / Corporate): Free access to browse allied water plants, place bottle refill orders, and track deliveries with zero platform commissions.
• Water Plants & Distributors (B2B SaaS): Licensed operational software to manage dispatch routes, delivery fleets, plant Point of Sale (POS), and fiscal e-invoicing.
• Drivers & Couriers: Field assistance tool for turn-by-turn routing, satellite tracking, and blind cash drawer daily reconciliation.

2. Accounts, Credentials, and Security

• Data Accuracy: Every registered individual or legal entity agrees to provide true, accurate, and current information (including legal tax ID, physical address, and contact details).
• Credential Confidentiality: Users bear full responsibility for safeguarding login credentials and two-factor authentication tokens (2FA/TOTP). Any activity performed through verified credentials is legally deemed authorized by the account holder.
• Prohibited Conduct: Utilizing the platform for unlawful purposes, reverse engineering the app or backend APIs, or compromising system integrity is strictly prohibited.

3. SaaS Subscription Tiers, Billing, and Taxes

• Starter / Entrepreneur Plan ($0.00): Free tier including up to 150 monthly bottles/orders and up to 150 monthly SRI electronic invoices, 1 vehicle, and 1 branch. Receipts generated under this tier contain standard platform branding.
• Paid Tiers (Pro and Enterprise VIP): Provide expanded or unlimited fleet vehicles, branches, white-label branding, AI forecasting, and priority support.
• Tax Transparency:
  • For services contracted within Ecuador, advertised prices include 15% VAT with full official SRI electronic invoice breakdown for tax credit.
  • For cross-border international subscriptions, transactions qualify for 0% VAT under digital services export regulations.
• Auto-Renewal & Cancellations: Subscriptions processed via PayPal or credit card renew automatically on a monthly or annual basis. Users may disable auto-renewal at any time via the admin portal. Payments made are non-refundable due to immediate cloud resource provisioning.
• Cloud Storage Quotas & Overage Fees: Every plan includes a baseline quota of secure cloud file storage (delivery evidence photos, signatures, and fiscal PDF invoices): 500 MB for Starter, 5 GB for Pro, and 25 GB for Enterprise VIP. Should an account exceed its allotted storage quota, an automated monthly overage fee of $2.50 USD per 10 GB block will be billed to guarantee uninterrupted data retention and operational file accessibility.

4. Bottle Lending & Deposit Regime (Comodato)

A fundamental pillar of bottled water logistics is the exchange and lending of reusable containers (5-gallon / 20-liter polycarbonate or PET jugs):

• Container Ownership: Borrowed containers remain the exclusive commercial property of the servicing water plant unless purchased outright by the customer.
• Duty of Care: The customer assumes full custodial responsibility for safeguarding loaned jugs, returning them clean and undamaged upon subsequent refills or contract termination.
• Digital Kardex Ledger: Platform records of containers dispatched and returned constitute valid proof between parties. The plant reserves the right to charge replacement costs for damaged, contaminated, or lost containers.

5. SRI Electronic Invoicing and Digital Certificates (.p12)

• Digital Signature Custody: When configuring SRI fiscal invoicing (Internal Revenue Service - SRI Ecuador), the company uploads a PKCS#12 (.p12) digital certificate. BotellónGo securely stores this certificate inside an encrypted vault (AES-256) used exclusively for signing authorized e-invoices.
• Tax Compliance Disclaimer: The accuracy of accounting data, applied tax rates (VAT 15%/0%), and periodic tax declarations remains the sole responsibility of the issuing water plant. BotellónGo does not provide legal/accounting advisory nor assume liability for tax penalties or audit findings from the SRI.

6. Product Quality & Logistics Liability Disclaimer

BotellónGo Inc. is an independent technology provider:

• Sanitary & Water Quality: Chemical purity, taste, filtration processes (reverse osmosis, ozone, UV), and compliance with sanitary regulations (ARCSA, INVIMA, FDA) are the sole responsibility of the bottling plant.
• Delivery & Logistics: Estimated Arrival Times (ETA), driver conduct, and vehicle roadworthiness are managed directly by the independent water plant or fleet operator.

7. Intellectual Property & Software Ownership

All source code, high-performance Rust backend architecture, native Flutter mobile applications, visual design systems, trademarks, logos, OSRM vehicular routing algorithms, and predictive AI modules of BotellónGo are the exclusive intellectual property of RFJ Software and are protected under international copyright, trademark, and software IP treaties. Unauthorized duplication, decompilation, reverse engineering, or commercial exploitation is strictly prohibited.

8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Republic of Ecuador. Any unresolved dispute arising out of this agreement will be submitted to the Chamber of Commerce Arbitration Center of the applicable jurisdiction.
